Filing Frequency:
Virginia Corporations and Non profits are the only business entities that are required to file an annual report AND pay the annual registration fee.
LLCs and LPs are only required to pay the annual registration fee.

- Corporations (Foreign and Domestic) - Varies - End of Anniversary Month.
The annual registration fee for corporations is based on the total number of authorized shares, as per the example chart below.

5,001 - 10,000 Authorized Shares - $130 fees
10,001 - 15,000 Authorized Shares - $160 fees
15,001 - 20,000 Authorized Shares - $190 fees
20,001 - 25,000 Authorized Shares - $220 fees
25,001 - 30,000 Authorized Shares - $250 fees
30,001 - 35,000 Authorized Shares - $280 fees
35,001 - 40,000 Authorized Shares - $310 fees
40,001 - 45,000 Authorized Shares - $340 fees
45,001 - 50,000 Authorized Shares - $370 fees
50,001 - 55,000 Authorized Shares - $400 fees
The maximum registration fee is $1,700 (over 270,000 shares).
LLCs (Foreign and Domestic) - $50 - End of Anniversary Month.
Non profits, Cooperatives, and Religious Corporations - $25 - End of Anniversary Month.
LPs (Foreign and Domestic) - $50 - October 1.
Late Fees:
Virginia will charge all corporations 10% of their total annual registration due OR $10, whichever is greater.
Non Profits will be charged $10.
LLCs and LPs will be assessed a $25 penalty.
In addition, your business will no longer be in good standing.
